For individual projects, the client may also be required to enter into a separate Development Agreement, Project Agreement, Digital Contract, Proposal, Quotation, or other written agreement ("Project Agreement").

Where a Project Agreement exists, it will contain the specific terms, scope, pricing, timelines, responsibilities, and other conditions applicable to that particular project.

In the event of any conflict between these website Terms and a signed Project Agreement, the terms of the signed Project Agreement shall govern the specific project to the extent of the conflict.

## 3. PROJECT SCOPE AND REQUIREMENTS

Before beginning a project, WebPremiums and the client will agree upon the project's scope and requirements.

The project scope may include:

* Required features and functionality

* Design requirements

* Number and type of pages

* Technical requirements

* Integrations

* Third-party services

* Delivery requirements

* Estimated timelines

* Pricing and payment terms

The agreed scope shall be determined by the applicable quotation, proposal, project brief, Development Agreement, or other written confirmation accepted by both parties.

WebPremiums is responsible for delivering the Services that are specifically included within the agreed project scope.

Any feature, functionality, integration, design change, or additional work that is not included in the agreed scope may be treated as additional work and may require additional charges and/or an updated timeline.

## 4. PROJECT CHANGES AND ADDITIONAL WORK

The client may request changes or modifications during the development process.

WebPremiums may determine whether a requested change is:

1. Included within the original agreed scope; or

2. Additional work outside the original scope.

If a requested change is outside the agreed scope, WebPremiums may provide the client with an updated quotation, cost, or timeline before carrying out the additional work.

Additional work will only be undertaken after the client provides the required approval or confirmation.

WebPremiums is not obligated to provide unlimited revisions or additional functionality that was not included in the original project scope.

## 5. CLIENT RESPONSIBILITIES

The client is responsible for providing accurate, complete, and timely information, materials, content, approvals, credentials, and other resources reasonably required for the completion of the project.

Depending on the project, the client may be required to provide:

* Business information

* Text and written content

* Images, videos, logos, and branding materials

* Product information

* Domain-related information

* Hosting account information

* Third-party service credentials

* API keys or access

* Legal policies and business information

* Required approvals and feedback

The client is responsible for ensuring that any content, images, trademarks, data, documents, or other materials supplied to WebPremiums are legally owned by the client or that the client has the necessary rights and permissions to use them.

WebPremiums shall not be responsible for delays caused by the client's failure to provide required information, content, approvals, access, payments, or feedback within a reasonable time.

## 6. PROJECT TIMELINES AND CLIENT DELAYS

WebPremiums will make reasonable efforts to complete projects within the estimated timeline communicated to the client.

However, estimated timelines are dependent upon several factors, including:

* Client feedback

* Client approvals

* Availability of required content

* Access to third-party services

* Hosting availability

* Domain configuration

* API availability

* Technical dependencies

* Changes to project requirements

If the client causes delays by failing to provide required information, approvals, payments, content, access, or feedback, the project timeline may be extended accordingly.

WebPremiums shall not be responsible for delays that are directly or indirectly caused by the client or by circumstances beyond WebPremiums' reasonable control.

## 7. CLIENT APPROVAL AND ACCEPTANCE

The client is responsible for reviewing the project, deliverables, content, functionality, and other materials provided by WebPremiums.

The client must communicate any reasonable corrections or issues within the applicable review or support period agreed upon for the project.

Once the project has been approved by the client or delivered in accordance with the agreed scope, the project may be considered completed.

Requests for new features or functionality after project completion may be treated as additional work and may incur additional charges.


## 8. OWNERSHIP AND INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, ownership and intellectual property rights relating to the final project deliverables shall be transferred or made available to the client in accordance with the applicable Project Agreement and payment terms.

Where full payment for the applicable project has not been received, WebPremiums may retain ownership or control over the relevant deliverables until the outstanding payment obligations are fulfilled.

The client is responsible for ensuring that all content, images, logos, trademarks, software, data, and other materials supplied by the client do not infringe the rights of any third party.

Third-party software, platforms, APIs, libraries, plugins, fonts, templates, AI services, hosting services, and other third-party technologies remain subject to their respective licenses and terms.

## 9. THIRD-PARTY SERVICES AND INTEGRATIONS

WebPremiums may use third-party platforms, services, software, APIs, hosting providers, AI services, payment gateways, databases, plugins, or other technologies to build or operate a project.

Examples may include, but are not limited to:

* Hosting providers

* AI platforms

* Payment gateways

* Cloud services

* APIs

* Domain providers

* Analytics services

* Communication platforms

* Database services

The availability, pricing, performance, security, policies, and continued operation of third-party services are controlled by the respective third-party providers.

WebPremiums does not guarantee that any third-party service will remain available, unchanged, or free of interruptions.

The client may be required to pay separate fees directly to third-party providers or through WebPremiums, depending on the project arrangement.

Any third-party service fees are separate from WebPremiums' development fees unless expressly stated otherwise in writing.

## 10. HOSTING, AI, APP, AND RECURRING SERVICE FEES

Certain projects may require recurring payments for services necessary to keep a website, web application, AI agent, or other digital solution operational.

These may include, but are not limited to:

* Website hosting

* Server fees

* Cloud infrastructure

* AI agent services

* AI API usage

* Database services

* Software subscriptions

* Third-party APIs

* Other recurring technology services

The applicable recurring fee may be payable on a monthly, yearly, or other agreed billing cycle, depending on the project and the plan selected by the client.

The client is responsible for selecting and maintaining the appropriate hosting or service plan required for their project, unless WebPremiums has expressly agreed in writing to manage such services on the client's behalf.

The client is responsible for ensuring that all recurring fees are paid on time.

## 11. NON-PAYMENT AND WEBSITE OR APPLICATION DELETION

If a client fails to pay an applicable hosting, server, AI service, application, website, or other recurring service fee by the due date, WebPremiums may notify the client of the outstanding payment.

If the outstanding payment remains unpaid for 20 days from the applicable payment due date, WebPremiums reserves the right to suspend or permanently delete the relevant website, application, AI agent, or digital project from the applicable server or hosting environment.

The client acknowledges and agrees that:

* The project may be permanently deleted from the applicable server after the 20-day non-payment period.

* WebPremiums may not maintain a backup copy of the deleted project.

* Once permanently deleted, the project may not be recoverable.

* WebPremiums shall not be obligated to restore or recreate the deleted project.

* The client shall not be entitled to a refund of previously paid development fees, hosting fees, service fees, or other amounts solely because the project was deleted due to non-payment.

* Any costs associated with rebuilding or recreating a deleted project may be charged separately.

* The client is responsible for maintaining any independent backup they wish to retain, unless WebPremiums has expressly agreed in writing to provide backup services.

The client acknowledges that this policy is an important condition of using applicable recurring services and agrees to review and accept the applicable terms before entering into the project.

Where required, the client may be asked to sign a separate Digital Contract or Project Agreement acknowledging these payment and deletion conditions.

## 12. PAYMENT TERMS

All project pricing, payment schedules, deposits, milestones, recurring fees, and other financial obligations shall be communicated to the client through the applicable quotation, proposal, invoice, Development Agreement, or Project Agreement.

The client agrees to make all payments by the applicable due dates.

WebPremiums may suspend development, delivery, deployment, hosting, maintenance, or other Services where the client has failed to make required payments.

Unless otherwise agreed in writing, payment obligations are not automatically cancelled because of project delays caused by the client.

## 13. REFUNDS

Refunds shall be governed by the applicable Refund Policy published by WebPremiums and/or the terms agreed upon in the applicable Project Agreement.

The client should review the Refund Policy before purchasing Services.

Unless expressly stated otherwise in writing, payments relating to completed work, delivered Services, third-party costs, hosting, subscriptions, or other non-refundable expenses may not be refundable.

Any refund eligibility will be determined in accordance with the applicable Refund Policy and Project Agreement.

## 14. MAINTENANCE AND POST-DELIVERY SUPPORT

Any post-delivery maintenance, technical support, warranty, bug fixing, or assistance provided by WebPremiums shall be governed by the applicable project terms.

Support provided as part of a project does not automatically include:

* New features

* Major redesigns

* New integrations

* Additional pages

* Changes to the original project scope

* Third-party service charges

* Ongoing hosting fees

* Ongoing subscription fees

Such services may be charged separately unless expressly included in the applicable Project Agreement.

## 15. WEBSITE SECURITY

WebPremiums will make reasonable efforts to follow appropriate development and security practices based on the technology and services used for a project.

However, no website, application, server, API, or digital system can be guaranteed to be completely secure or free from vulnerabilities.

Security may also depend on third-party providers, hosting companies, APIs, plugins, software updates, client account security, passwords, and other factors outside WebPremiums' control.

The client is responsible for maintaining the security of their own accounts, credentials, passwords, domain accounts, hosting accounts, and third-party services unless WebPremiums has expressly agreed to manage them.

WebPremiums shall not be responsible for security incidents caused by circumstances outside its reasonable control or by unauthorized access resulting from compromised client credentials or third-party systems.



## 16. AI SERVICES AND AI-GENERATED OUTPUT

Where AI tools, AI agents, or AI-powered functionality are included in a project, the client acknowledges that AI-generated outputs may not always be accurate, complete, reliable, or suitable for every purpose.

The client is responsible for reviewing and validating AI-generated content or decisions before relying upon them for business, legal, financial, medical, or other consequential purposes.

WebPremiums does not guarantee that AI services will always produce accurate or error-free results.

AI services may also depend on third-party providers whose availability, pricing, usage limits, policies, and functionality may change over time.

## 17. PROHIBITED USE

The client agrees not to use any website, application, AI agent, or digital solution developed by WebPremiums for unlawful purposes or in violation of applicable laws and regulations.

The client shall not knowingly use WebPremiums' Services to:

* Conduct fraudulent activities

* Distribute illegal content

* Infringe intellectual property rights

* Facilitate unauthorized access to systems

* Distribute malicious software

* Engage in activities prohibited by applicable law

WebPremiums reserves the right to refuse or suspend Services where it reasonably believes that the Services are being used for unlawful or prohibited purposes.

## 18. PORTFOLIO AND SHOWCASE RIGHTS

Unless otherwise agreed in writing, WebPremiums may display completed projects, website screenshots, designs, or other publicly available project materials in its portfolio, website, social media, marketing materials, presentations, or promotional content for the purpose of demonstrating its work and services.

WebPremiums will not intentionally disclose confidential information belonging to the client.

If a client requires a project to remain confidential or does not want the project publicly displayed, the client should communicate this requirement to WebPremiums and obtain written confirmation before project completion.

## 19. CONFIDENTIALITY

WebPremiums and the client may receive confidential or commercially sensitive information during the course of a project.

Both parties should take reasonable steps to protect confidential information received from the other party.

Confidential information does not include information that:

* Is publicly available through no fault of the receiving party

* Was already lawfully known to the receiving party

* Is independently developed without using confidential information

* Is required to be disclosed by law or a lawful authority

Specific confidentiality obligations may be further defined in a separate agreement between WebPremiums and the client.

## 20. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, WebPremiums shall not be liable for indirect, incidental, consequential, special, or unforeseeable losses arising from the use of or inability to use a website, application, AI service, hosting service, third-party platform, or other digital solution.

WebPremiums shall not be responsible for losses arising from:

* Third-party service outages

* Hosting provider failures

* API changes

* Domain issues

* Payment gateway issues

* AI provider interruptions

* Client-caused security breaches

* Client delays

* Incorrect information provided by the client

* Unauthorized access caused by compromised client credentials

* Events outside WebPremiums' reasonable control

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

## 21. FORCE MAJEURE

WebPremiums shall not be considered in breach of these Terms for delays or failure to perform caused by circumstances beyond its reasonable control.

Such circumstances may include:

* Natural disasters

* Government actions

* Internet or infrastructure failures

* Hosting outages

* Cybersecurity incidents

* Third-party service failures

* Power failures

* Technical infrastructure failures

* War or civil unrest

* Other events beyond reasonable control

WebPremiums will make reasonable efforts to resume affected Services when circumstances permit.

## 22. TERMINATION OR SUSPENSION

WebPremiums may suspend or terminate Services where:

* The client fails to make required payments

* The client materially breaches these Terms

* The client provides unlawful or prohibited instructions

* The client misuses the Services

* Continued performance becomes technically or legally impractical

* The client fails to cooperate with reasonable project requirements

Termination of Services does not automatically cancel payment obligations that have already accrued.

Where applicable, termination and refund matters shall be handled in accordance with the applicable Project Agreement and Refund Policy.

## 23. CHANGES TO THESE TERMS

WebPremiums reserves the right to update or modify these Terms from time to time.

Any updated version will be published on this page with a revised "Last Updated" date.

The updated Terms will apply to future use of the website and, where legally applicable, future engagements with WebPremiums.

## 24. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and interpreted in accordance with the applicable laws of India.

Any disputes arising in connection with these Terms or the Services shall be subject to the jurisdiction of the competent courts having jurisdiction over the applicable location of WebPremiums, unless otherwise agreed in writing or required by applicable law.

## 25. SEVERABILITY

## 26. ENTIRE AGREEMENT

These Terms, together with any applicable quotation, proposal, Development Agreement, Project Agreement, Digital Contract, Refund Policy, Privacy Policy, and other written agreements between WebPremiums and the client, constitute the applicable understanding between the parties regarding the relevant Services.

A specific signed Project Agreement may contain additional terms applicable to an individual project.
